INTRODUCTION TO OUR COMPANY

VanWest Storage Fund I, LLC ("VWSFI" or the "Company" or the "Fund") was formed for the purpose of acquiring, adding value to and managing self storage class real estate assets. The Fund will seek to acquire and manage existing well located real estate assets with the intention of providing participating investors with a real estate focused investment opportunity that combines income, principal investment growth, and elements of capital preservation. The Fund is managed by VanWest Fund Manager, LLC ("VWFM" or the "Fund Manager"), a Colorado company formed in 2019 that specializes in real estate asset acquisition and management. VWFM is managed by three highly experienced real estate and finance professionals with a combined 32 years of experience in the national real estate market.

The Fund's primary focus is creating and maintaining investor wealth through local alternative real estate investment strategies in self storage. The Management team's collective abilities provide an advantage over investing individually by allowing the Fund to quickly and efficiently address any real estate acquisition and management issues. The Fund's ability to invest with aggregated capital also provides greatly enhanced negotiation leverage as the Fund can close acquisitions quickly and without the typical financing delays encountered with other purchasers that require institutional financing to close on a property. Since the Fund's primary managers are directly involved in the placement of investment funds into select real estate assets, they can manage the investments more actively than large institutional investors. By investing in a Fund with experienced and specialized management, investors are freed from the complexities and time required for individual property ownership.

Over the years, the Fund Manager has seen extreme market fluctuations; because of this, VWFM is always researching market trends to develop strategies allowing them to mitigate this volatility and reduce negative effects on investors. This experience has also better positioned the Fund to take advantage of market opportunities presented in times of uncertainty. This proactive approach sets VanWest Storage Fund I, LLC apart from the competition. The Fund's management team has identified compelling market opportunities for the acquisition of under-performing self storage assets in certain under-supplied and growing markets within the continental United States. VanWest Partners and its affiliates have successfully invested in 13 self storage projects totaling over 765,000 rentable square feet. Projects have included multi-story ground up development, adaptive reuse and value add to existing facilities.

Fund Management Methodology

The Fund will pursue investments by utilizing the extensive expertise of the Fund Manager in acquiring and managing compelling self storage assets that meet the Fund's asset acquisition criteria. The Fund Manager will seek to acquire assets through traditional avenues such as listing through brokers, but will also put a strong focus on off-market or under-marketed facilities. The Fund Manager utilizes its proprietary database of facilities throughout its target markets to locate assets meeting its acquisition criteria. Once determined to be a target asset, the Fund Manager uses a variety of direct marketing techniques to help find owners willing to sell.

Once the Fund Manager has found available assets, it uses a disciplined, data driven approach to underwriting. Through its proprietary software, the Fund Manager is able to analyze a multitude of variables to make its investment decision. The Fund Manager's software has been fine tuned over the last three years and allows the Fund Manager to make sense of a disjointed storage market.

The breadth and depth of data allows the Fund Manager to turn models and analysis quickly, normalize for seasonality, underwrite specific unit types and manage existing facility revenue on a daily basis. This data driven approach through proprietary systems allows the Fund Manager to invest responsibly in target assets and find opportunities where others may not.

The Fund Manager through its affiliate, ClearHome Self Storage, implements an advanced suite of technology to convert "mom-and-pop" operators from staffed facilities to automated facilities. The Fund Manager's system of technology also allows them to implement management best practices used by the larger operators at a fraction of the cost.

Acquisition Criteria

VWSFI targets Storage facilities over 25,000 net rentable square feet in primary, secondary and tertiary markets. The Fund's investment strategy is to target facilities in low supply ratio trade areas, insulated from impacts of potential additions of one or two facilities through stress tests. In suburban and more rural environments, VWSFI seeks out projects that are further insulated by purchasing at or below replacement costs. VanWest Storage Fund I, LLC will focus on value-add assets with in place revenue.

The following criteria will be met by all assets:

  • In place revenue shall mean the asset has an occupancy of 50% or greater
  • Meets a minimum DSCR of 1.0X by month 6 on an annualized basis after implementation of ClearHome management
  • Average household incomes in the three- and five-mile trade radius of over $40,000
  • No negative population growth within the 5-mile trade radius

The following are target criteria:

  • Assets with below market in place rent
  • Ability to push occupancies
  • Small operators / absentee managers
  • Stabilization to above an 8% Return on cost
  • Ability to push return on cost through ClearHome management, a VanWest affiliate (reducing expenses and pushing revenue)
Geographic Focus

In the opinion of the Fund Manager, the secondary and tertiary real estate markets of the United States provide a compelling opportunity for the purchase, management, and disposition of undervalued and under-performing self storage real estate assets. The Fund Manager's construction and distressed real estate mitigation background provides it the capability to accurately evaluate certain acquisition opportunities with the intent to rehabilitate the asset, engage in a reposition and lease-up, and then ultimately sell the improved asset for a net gain. Markets with below average self storage supply and growing population will be primary locations of focus.

VWSFI targets geographic locations that have potential to acquire multiple assets within close proximity to each other in order to reduce costs and overhead. This also sets the Fund up for a more attractive exit scenario.
